Terms and Conditions for Site Use

These Terms of Service (the “Terms”) are a legally binding contract between the user (“you”) and Dorsata, Inc. (“Dorsata,” “we,” or “us”). Dorsata provides the Services (as defined below) to you subject to these Terms, which may be updated by Dorsata from time to time without prior notice. You can review the most current version of the Terms at any time at http://www.dorsata.com/terms. These Terms govern your use of the Services.

BY CLICKING “I ACCEPT”, OR BY ACCESSING AND USING THE SERVICES IN ANY WAY, YOU AGREE TO BE BOUND BY THESE TERMS, INCLUDING THE WARRANTY DISCLAIMERS, LIMITATIONS OF LIABILITY, AND TERMINATION PROVISIONS BELOW. IF YOU DO NOT AGREE TO THE TERMS, DO NOT USE THE SERVICES.

Our services

Dorsata is dedicated to encouraging the development, dissemination and implementation of evidence-based clinical pathways. Dorsata does not offer medical advice. Any Content accessed through Dorstata is for informational purposes only, and is not intended to cover all possible uses, directions, precautions, drug interactions, or adverse effects. Dorsata does not recommend or endorse any third-party service providers, health care providers, specific tests, physicians, products, procedures, opinions, web sites accessed through Dorsata or other information that may be mentioned on the Services or accessed by the Services. Dorsata provides users with access to an interactive pathway creation platform (the “Services”). The specific features of the Services that are available may change from time to time and Dorsata may choose to discontinue some or all of the Services at its Sole discretion. Our role is to dynamically host some of the largest collaboratively-edited treatment pathways in the world. We act only as a hosting service, maintaining the infrastructure and organizational framework that allows our users to build the pathways by contributing and editing Content themselves. Because of our unique role, there are several issues you should keep in mind when considering our relationship to you, the pathways, and the other users.

USING OUR SERVICES

Limited user base: Access to and use of the Services is limited to healthcare professionals who are United States residents and at least 21 years of age. You must register to use the Services. To register, you must provide Dorsata with your name, valid email, and other confirmatory demographics specified in the registration form (“Registration Data”). By registering, and in consideration of the use of the Services, you represent and warrant that: (i) the Registration Data that you provide about yourself is true, accurate, current, and complete; (ii) you are a healthcare professional, defined as a person who is trained and licensed to provide healthcare (i.e., doctor, nurse, other hospital staff, etc.); (iii) you are at least 21 years of age; and (iv) you will maintain and promptly update the Registration Data and Conflict of Interest Disclosure to keep it true, accurate, current and complete. You authorize Dorsata to confirm the truthfulness and accuracy of the Registration Data and Conflict of Interest Disclosure. If you provide any information that is untrue, inaccurate, not current or incomplete, or if Dorsata has reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, Dorsata has the right to suspend or terminate your account and refuse any and all current or future use of the Services. By accessing and using the Services, you acknowledge receipt of, and signify your agreement to, the Dorsata Privacy Policy, found at http://www.dorsata.com/about/privacy and incorporated herein by reference. You understand that your use of the Services may involve or require the transmission of significant amounts of data. You are responsible for all data charges that may be charged by your wireless carrier or internet service provider or that may otherwise arise from your use of the Service. You may only use or browse material contained on Dorsata for the provision or conduct of surgery, medical care, diagnostic studies and interpretation, the treatment of patients, training or for research. The following uses are prohibited: (i) reverse engineering, decompiling or modification of Dorsata, in whole or in part; (ii) preparation of derivative works not explicitly authorized in writing or incorporation of Dorsata, in whole or in part, in any other work or system; (iii) reselling access, creating materials for courses, copying, duplication, redistribution, retransmission, publication, transfer or commercial or other exploitation of Dorsata, in whole or in part, where such acts are contrary to the permitted use; (iv) copying, uploading, downloading or redistributing Dorsata Content; (v) systematic retrieval of Dorsata Content; (vi) creating or compiling, directly or indirectly, a collection, compilation, database or directory from Dorsata; and (vii) use of any software scripting or robots, spiders, crawlers or other automated downloading programs or devices to continuously and/or automatically search or index any Dorsata Content.

In connection with your use of the Services, we may send you service announcements, administrative messages, and other information. You may opt out of some of those communications.

INFORMATION REGARDING CONTENT WE HOST

REFRAINING FROM CERTAIN ACTIVITIES

The pathways hosted by Dorsata exist only because of the vibrant community of users like you who collaborate together to write, edit, and curate the Content. We happily welcome your participation in this community. We encourage you to be civil and polite in your interactions with others in the community, to act in good faith, and to make edits and contributions aimed at furthering the mission of the shared pathway.

Certain activities, whether legal or illegal, may be harmful to other users and violate our rules, and some activities may also subject you to liability. Therefore, for your own protection and for that of other users, you may not engage in such activities on our sites. These activities include:

Harassing and Abusing Others

  • Engaging in harassment, threats, stalking, spamming, or vandalism; and
  • Transmitting chain mail, junk mail, or span to other users.

Violating the Privacy of Others

  • Infringing the privacy rights of others under the laws of the United States of America or other applicable laws (which may include the laws where you live or where you view or edit Content);
  • Revealing private Patient Information, as defined in the Health Insurance Portability and Accountability Act of 1996 (HIPAA);
  • Soliciting personally identifiable information for purposes of harassment, exploitation, violation of privacy, or any promotional or commercial purpose not explicitly approved by Dorsata; and
  • Soliciting personally identifiable information from anyone under the age of 18 for an illegal purpose or violating any applicable law regarding the health or well-being of minors.

Engaging in False Statemenets, Impersonation, or Fraud

  • Intentionally or knowingly posting Content that constitutes libel or defamation;
  • With the intent to deceive, posting Content that is false or inaccurate;
  • Attempting to impersonate another user or individual, misrepresenting your affiliation with any individual or entity, or using the username of another user with the intent to deceive; and
  • Engaging in fraud.

Committing Infringement

  • Infringing copyrights, trademarks, patents, or other proprietary rights under applicable law.

Misusing Our Services for Other Illegal Purposes

  • Posting child pornography or any other Content that violates applicable laws concerning child pornography;
  • Posting or trafficking in obscene material that is unlawful under applicable law; and
  • Using the services in a manner that is inconsistent with or violates applicable law.

Engaging in Disruptive and Illegal Misuse of Facilities

  • Posting or distributing Content that contains any viruses, malware, worms, Trojan horses, malicious code, or other device that could harm our technical infrastructure or system or that of our users;
  • Engaging in automated uses of the site that are abusive or disruptive of the services and have not been approved by Dorsata;
  • Knowingly accessing, tampering with, or using any of our non-public areas in our computer systems without authorization; and
  • Probing, scanning, or testing the vulnerability of any of our technical systems or networks.

CLAIMS OF COPYRIGHT OR INTELLECTUAL PROPERTY INFRINGEMENT

  • an electronic or physical signature of a person authorized to act on behalf of the owner of the copyright or other intellectual property interest;
  • a description of the copyrighted work or other intellectual property that you claim has been infringed;
  • a URL and description of where the material that you claim is infringing is located or found on the Services;
  • your address, telephone number and, if available, an email address;
  • a statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; and
  • a statement by you that the above information provided by you in your notice is accurate and, under penalty of perjury, that you are the copyright or intellectual property owner or authorized to act on behalf of the copyright or intellectual property owner.

SCOPE OF LICENSE

  • disclose the results of any benchmark tests of the Services to any third party without Dorsata’s prior written approval;
  • work around any technical limitations in the Services;
  • reverse engineer, decompile or disassemble any software that you may have access to through the Services, except and only to the extent that applicable law expressly permits, despite this limitation;
  • publish or make the Services available to others to copy;
  • rent, lease or lend access to the Services;
  • transfer this agreement to any third party; or
  • use the Services for commercial hosting services or software-as-a-service.
